WORD ORIGIN

Proxy evolved from "proccy" (a letter containing power of attorney) and later "prokecye" (stewardship), which were borrowed from the Anglo-French procuracie and directly from the Medieval Latin procuratia (administration), an alteration of the Latin procuratio (care, management), from procurare (manage).

Proxy is a broad term that refers to something that acts on behalf of something else (people can also be proxies). Proxy is frequently used in the legal profession and in business, although it gets wide use in a variety of contexts. Some of the more common uses are:

proxy fight - A strategy that may be part of a hostile takeover. A proxy fight occurs when the acquiring company attempts to convince shareholders to use their proxy votes to install new management that is open to the takeover. The technique allows the buyer to avoid paying a premium for the target company.

proxy statement - An announcement and invitation to attend a publicly-held company stockholder meeting.

proxy vote (business and finance) - A vote that is cast by one entity on behalf of another. In securities, shareholders often give company management the right to cast their vote at a shareholder's meeting.

proxy vote (government) - A vote for legislation or a candidate for public office in which the person voting is not physically present during the procedure.

proxy server - A computer server that acts as an intermediary between a workstation user and the Internet that allows the user to remain anonymous, thus providing a level of security.

proxy war - A conflict in which two powers use third parties as a substitute for fighting each other directly.
